Basic Policy

To earn the trust of shareholders and other investors, Makita Corporation is dedicated to conducting business operations with fairness and transparency and to disclosing the necessary corporate information in a timely and appropriate manner.

Standard for Information Disclosure

Makita Corporation discloses information in accordance with the Financial Instruments and Exchange Act and the timely disclosure rules of the Tokyo Stock Exchange. In addition to disclosing information covered by the timely disclosure rules, Makita Corporation announces a variety of other information that is believed to be required for investment decisions.

Disclosure Methods

Makita Corporation uses the timely disclosure network (TDnet) of the Tokyo Stock Exchange to disclose information in accordance with the instructions of individuals responsible for handling this information. Other information as well is disclosed with fairness and speed based on the principle of timely disclosure.

Information Disclosure Process

If information about the Company that is required to be disclosed under the Timely Disclosure Rules arises, individuals responsible for information disclosure in each department report the matter to the General Manager of the General Affairs Department. Upon receiving such report, the General Manager of the General Affairs Department reports the matter to the Director, Corporate Officer, & General Manager of the Administration Headquarters, who is responsible for handling information.
The Director, Corporate Officer, & General Manager of the Administration Headquarters discloses such information about the Company without delay after consulting with the Board of Directors, etc. Makita corporation also endeavors to disclose information that is not subject to timely disclosure promptly if such information is deemed important from the perspective of protecting investors.

Quiet Period

To prevent leaks of information about financial reports, Makita Corporation sets a certain period of time prior to the announcement of financial results as a quiet period. During this period, Makita Corporation will make no comments and answer no questions concerning its performance. However, even during a quiet period, Makita Corporation will make an announcement if results of operations are expected to differ significantly from a forecast that has already been announced.

System for Timely Disclosure of IR Information

Makita Corporation endeavors to make easy-to-understand information disclosure to investors regarding important financial and social events related to the Company, upon consideration by the Board of Directors and the Management Council regarding the content and methods, etc., by issuing news releases and utilizing various information dissemination tools, such as Electronic Disclosure for Investors’ Network (EDINET) and the Company’s website.
